Terms of Sale

These Terms of Sale apply to all purchases made through https://store.ringwoodgroup(.co.za/.net.za/.web.za) and must be read together with our Website Terms of Use, Privacy Policy, and Returns & Refunds Policy.

These terms are subject to the Consumer Protection Act 68 of 2008 (CPA) and the Electronic Communications and Transactions Act 25 of 2002 (ECTA).

Definitions

In these Terms of Sale:

  • “We / Us / Our” means the Ringwood Digital Solutions Group (Pty) Ltd, operating the Ringwood Digital Store website at https://store.ringwoodgroup.co.za, https://store.ringwoodgroup.net.za and https://store.ringwoodgroup.web.za.
  • “User / You / Your” means any person accessing or using this website.
  • “Registered User” means a User who has created an account on our website.
  • “Content” means all text, images, graphics, product listings, logos, trademarks, software, and other material published on this website.
  • “Goods” means products listed for sale on this website.

Formation of Contract

Placing an order on our website constitutes an offer to purchase the selected Goods at the stated price. A binding contract is formed only when we send you an order confirmation email accepting your order, or if your order status has transitioned from Processing to Confirmed. Acknowledgement of receipt of your order is not the same as acceptance of your offer.

We reserve the right to refuse or cancel any order at our sole discretion, including where stock is unavailable from our suppliers, where a pricing error has occurred, or where we suspect fraudulent activity. Where payment has already been received for a cancelled order, a full refund will be processed promptly.

Pricing, Product Information, Images and Specifications

All prices displayed are in South African Rand (ZAR) and are inclusive of VAT (where applicable) unless stated otherwise. Delivery charges are calculated separately and will be displayed at checkout before you confirm your order. Prices are subject to change without notice prior to order confirmation.

We take reasonable care to ensure that product descriptions, images, specifications, compatibility information, availability, and other details on the website are accurate and up to date. However, errors, omissions, or delays may occur, and information may change without notice, including specifications, packaging, accessories, colours, software bundles, warranty terms, and model variations.

Product images are for illustrative purposes only. Actual products, packaging, accessories, and appearance may differ from those shown.

Where product information is provided by manufacturers, suppliers, or other third parties, we do not guarantee that it will always be complete, current, or error-free. Customers are encouraged to consult official manufacturer documentation for the most accurate and up-to-date information.

If a material error or inaccuracy is identified before fulfilment, we reserve the right to correct it, contact the customer, offer an alternative, or cancel the affected item or order in accordance with applicable law.

Minor differences in images, packaging, labelling, or non-essential descriptions will not constitute a defect or misrepresentation, provided the correct product model is supplied and materially conforms to the order.

Stock Availability

All products advertised on our website are subject to stock availability. Where stock indications are shown, they constitute as a guide only and does not guarantee stock levels. Stock availability may change without any notice. 

If a product becomes unavailable after you place an order, we may cancel the unavailable item or order, offer an alternative, or contact you with updated availability information. Where payment has already been received for goods that cannot be supplied, any refund due will be processed in accordance with applicable law.

Supplier-Sourced and Special-Order Items

Some items sold by us are sourced from suppliers on demand and may not be held in our regular warehouse stock. These items may be subject to supplier confirmation, revised lead times, changed availability, revised specifications, revised supplier pricing, or revised landed costs before fulfilment.

Payment

We accept the following payment methods:

  • Electronic Funds Transfer (InstantEFT): Our payment provider offers an InstantEFT service that interfaces with most South African banks to help facilitate EFT transfers. 
  • Credit/Debit Card: Processed securely via our third-party payment gateway PayFast. We do not store your card details.
  • Buy Now Pay Later (BNPL): Available through Mobicred and RCS Store Cards, subject to their own terms and credit assessment. Refunds for BNPL orders will be processed through the original BNPL platform and may not be converted to store credit or EFT refunds.

We are not affiliated with any third-party payment provider. Any information you provide to them is subject to their own privacy policies. We are not liable for any breach or error occurring between you and the payment provider.

Order Cancellation by You

You may cancel an order:

  • Before confirmation: Contact us as soon as possible. If the order has not yet been confirmed (i.e. the order status is “Processed”), no cancellation fee will apply.
  • After confirmation but before dispatch: Cancellations are permitted only prior to dispatch of the order to a courier. Approved cancellations will be subject to a 15% cancellation fee. Orders for special, customised, or non-standard items, including downloadable software or items, are not eligible for cancellation.
  • After dispatch: Your right of return is governed by our Returns & Refunds Policy and the applicable provisions of ECTA and the CPA (see that policy for details).
  • ECTA Cooling-Off Period: In terms of section 44 of ECTA, you are entitled to cancel an electronic transaction without reason within 7 (seven) days of receipt of the Goods, provided the Goods are returned at your cost in their original, unused, and sealed condition. The provisions of this section do not apply where Goods are made to your specification, are perishable, or constitute unsealed software or audio/video recordings.

Delivery

We deliver within the Republic of South Africa only (unless otherwise agreed in writing). Delivery is carried out by our courier partners. Please note:

  • Delivery lead times are estimates only and begin from the date of dispatch, not the date of order.
  • Estimated delivery times will be communicated in your order confirmation or dispatch notification.
  • Lead times for custom-built or assembled systems may be longer due to assembly and testing requirements.
  • We are not liable for delays caused by courier partners, circumstances beyond our control (including weather, industrial action, or public holidays), or an incorrect address provided by you.
  • In terms of section 46 of ECTA, if no delivery date is agreed, we will deliver within 30 (thirty) days of acceptance of your order.
  • Risk in the Goods passes to you upon delivery to the address you have specified.

Inspection on Delivery

We encourage you to inspect your delivery at the time of receipt. In terms of section 20 of the CPA, where you have not had the opportunity to examine the Goods prior to purchase, you are entitled to inspect them on delivery. If the Goods do not conform to what you could reasonably expect, or if a special/custom order does not meet the agreed specifications, you are entitled to refuse delivery and cancel the purchase without penalty, or to request that the Goods be exchanged.

Warranty

All products are covered by the relevant manufacturer’s warranty. The warranty period and terms vary by product and manufacturer. Please retain your proof of purchase (invoice), as it will be required for all warranty claims.

In addition to any manufacturer’s warranty, in terms of section 56 of the CPA, all Goods carry an implied warranty that they are:

  • Free of defects in materials and workmanship;
  • Of good quality;
  • Usable and durable for a reasonable period of time.

This implied warranty applies for a minimum period of 6 (six) months from the date of delivery. Should Goods fail to meet this standard within this period, you may elect to have the Goods repaired, replaced, or refunded — that choice is yours as the consumer.

Software Licences

Where Goods constitute software, the purchase grants you a licence to use the software subject to the terms of the applicable end-user licence agreement (EULA). We do not warrant that software products will be free from errors or will meet your specific requirements beyond the manufacturer’s specifications.

Limitation of Liability

To the fullest extent permitted by law, our total liability for any claim arising from or relating to a sale shall not exceed the purchase price of the relevant Goods. We will not be liable for any indirect, incidental, special, or consequential loss. Nothing in these Terms limits our liability under the CPA or ECTA.

Consumer Goods and Services Ombud (CGSO)

Should a dispute between you and us not be resolved to your satisfaction, you may refer the matter to the Consumer Goods and Services Ombud (CGSO) at www.cgso.org.za or call 0860 000 272. This is a free service for consumers.

Governing Law

These Terms of Sale are governed by and construed in accordance with the laws of the Republic of South Africa. You consent to the jurisdiction of the South African courts. Any rights afforded to you by the CPA or ECTA cannot be limited or excluded by these Terms.
